Their role will include:
Analysis of contractual terms and distilling the key commercial and legal issues presented by the envisaged agreement and presenting these to the contract sponsors
Negotiating complex commercial agreements
Reporting to and updating General Counsel on key commercial contract negotiations
Assisting the business to obtain internal approvals, depositions and ensuring internal governance is adhered to before envisaged agreements are entered into
Significant day to day contact with wide range of people across all business services teams (including Executive Management, Compliance, Finance, office services and facilities, IT, HR, Marketing, Learning and Development, Knowledge and the Library) who will generally be non-lawyers and with differing levels of seniority
Acting with utmost integrity and mitigating risk by improving the awareness and understanding of legal issues and reputational risk affecting business services by providing training and advising on process and system improvements
Providing ad hoc advice on general commercial matters such as supporting the firm on queries related to third party supply contracts in client engagement terms and audits
Skills and Experience Required
Demonstrable experience of negotiating and drafting:
Transactional document experience including drafting, deposition and negotiating commercial contracts such as: NDAs, software licensing, hosting and support agreements, hardware and infrastructure supply, support and maintenance agreements, outsourcing agreements, cyber security service agreements, sponsorship agreements, pilot agreements, framework agreements, professional services and consultancy agreements, building service agreements such as cleaning contracts and office maintenance and office fit-outs, and employee benefit agreements such as healthcare provision
Able to review documents drafted by third party suppliers and quickly identify potential problem areas. Must have excellent drafting skills to provide high quality advice and ensure drafting leaves no ambiguity on key legal and reputational risk areas and at all times act with the utmost professionalism and integrity in law
Ability to take responsibility, be pragmatic and commercially minded. Consider and take active approach in minimising risk. Ability to take definitive position to protect reputational risk
Highly motivated and be able to work with flexible attitude and a level of supervision appropriate to level of qualification, p roven forward planning skills and the ability to manage own workload and prioritize workloads effectively.

Excellent oral and written communication skills, authoritative with ability to deal confidently and build strong relationships with senior stakeholders
